IOI Properties REIT plans cleared a major regulatory step on 7 August 2026, after IOI Properties Group Bhd secured Securities Commission Malaysia approval to establish and list IOIPG Malaysia REIT, The Edge Malaysia reported.
The assets behind the REIT
The proposed REIT will acquire nine Malaysian properties from IOI Properties subsidiaries for a combined RM7.58 billion. The portfolio is anchored by IOI City Mall, valued at RM5.1 billion, and also includes IOI City Towers, PFCC Towers and six hotels: Putrajaya Marriott Hotel, Le Meridien Putrajaya, Moxy Putrajaya, Four Points by Sheraton Puchong, W Kuala Lumpur and Courtyard by Marriott Penang.
The acquisition consideration will be satisfied through 5.5 billion REIT units issued at 90 sen each, plus RM2.65 billion in cash to be funded through sukuk issuance. IOI Properties had earlier described the exercise as a way to unlock mature investment properties while retaining exposure through the listed vehicle, according to its April 2026 announcement.
Why the approval matters
The SC nod does not make the listing automatic, but it moves the transaction from proposal to execution track. For property investors, the important point is that a large mixed portfolio of retail, office and hotel assets is being packaged into a yield vehicle. That changes how the market can price IOI's mature assets, compared with keeping them fully inside a developer balance sheet.
On Rummah, readers following the locations touched by the portfolio can compare current market supply through commercial property for sale in Puchong, commercial property for sale in Kuala Lumpur and property for sale in Penang. These pages are not REIT comparables, but they help ground the portfolio in the real districts where buyers and tenants operate.
Offering structure
The Edge reported that 715.61 million units are planned for the retail portion. This includes 550.61 million units through a restricted offer for sale to existing IOI Properties shareholders, with eligible shareholders entitled to one REIT unit for every ten IOI Properties shares held on an entitlement date to be announced later.
- The portfolio value is RM7.58 billion.
- The initial fund size is planned at 5.5 billion units.
- The cash portion is RM2.65 billion, expected to be funded through sukuk.
- The listing remains subject to the remaining transaction steps and market timing.
The key watchpoint now is whether IOI Properties can complete the listing within its targeted 2026 window and how final pricing compares with the indicative 90 sen unit value.
