HexTech Nilai Land Unit Sale Sets RM38.14m Cash Inflow

Rummah EditorialRummah Editorial··2 min read

HexTech Nilai land disposal plans returned to the market on 7 August 2026, this time through a proposed related-party sale of Guper Bonded Warehouse Sdn Bhd to Hextar Holdings Sdn Bhd, EdgeProp reported.

What HexTech is selling

Guper Bonded Warehouse owns five adjoining freehold industrial land parcels at Nilai Industrial Estate, Nilai Inland Port, Negeri Sembilan. The land covers 56,231 sq m, or about 13.89 acres, and is vacant and unencumbered. The titles are restricted to industrial warehouse use, with dealings subject to written state authority consent.

The headline equity sale price is RM2.77 million cash. The wider completion mechanism is larger: Hextar Holdings will advance funds to Guper Bonded Warehouse to redeem RM35.05 million of redeemable convertible preference shares held by HexTech and repay RM318,000 in intercompany advances. That brings HexTech's expected cash inflow to RM38.14 million.

The psf context

Measured against the 13.89-acre land area, the RM38.14 million cash inflow equals about RM63 psf. The arithmetic is RM38.14 million divided by 13.89 acres, then divided by 43,560 sq ft per acre. Independent valuer Laurelcap Sdn Bhd ascribed a combined market value of RM38.5 million to the parcels as at 24 June 2026, close to the total cash inflow figure.

For readers tracking industrial supply around the corridor, Rummah's Nilai industrial property page and Nilai land-for-sale page give a practical starting point for seeing how listed assets in the area are positioned.

Why this is not a normal third-party sale

The transaction is a related-party deal because Hextar Holdings is controlled by HexTech group chief executive officer and executive director Datuk Ong Choo Meng. EdgeProp reported that Ong has abstained, and will continue to abstain, from deliberations and voting. Non-interested shareholder approval is still required.

  • HexTech expects a pro forma gain of RM31.59 million.
  • RM20 million of proceeds is earmarked for technology business expansion.
  • RM16 million is planned for partial bank borrowing repayment.
  • The company expects completion by the fourth quarter of 2026, subject to approvals and conditions.

The deal matters because the same Nilai landholding has already seen a previous proposed disposal to Widad fall away. A completed transaction would finally convert the vacant industrial parcels into cash for HexTech.
